1. About these terms
UGCSG (ugcsg.com) is a marketplace where brands ("Brands") order user-generated video content from independent creators ("Creators"). It is operated by One Impact Market Pte Ltd (UEN 202499222K), 7030 Ang Mo Kio Avenue 5, #03-23, NORTHSTAR @ AMK, Singapore 569880 ("UGCSG", "we", "us").
These Terms of Service apply to your use of UGCSG, whether or not you place or take an order. Each order is also governed by the Brand Order Terms or Creator Order Terms you sign for that order. If these terms and the Order Terms conflict on a matter about an order, the Order Terms apply.
By creating an account or using UGCSG you agree to these terms and to our Privacy Policy. If you do not agree, do not use UGCSG.
2. Accounts and eligibility
You must give accurate information when you sign up and keep it up to date. You are responsible for everything done through your account, and must keep your password private and tell us at once if you think your account has been misused.
One person or business per account. You must not create an account for someone else without their authority, or create a new account after we have suspended or closed one of yours.
Brands confirm that they are at least 18 and, if they sign up for a business, that they are authorised to bind that business.
If you are under the age of 18 years, or otherwise considered a minor under the laws of Singapore or your jurisdiction, then you may only create an account and become a UGC Creator if: (a) you have informed your parent or legal guardian of your intention to become a UGC Creator; (b) you have the prior consent of your parent or legal guardian; and (c) your parent or legal guardian enters into these terms on your behalf.
Where this occurs, both you and your parent or legal guardian will be bound under these terms as the Creator, and these terms will be enforceable against both of you. Your parent or legal guardian will be responsible for your acts and omissions under these terms. Your acts or omissions under or in relation to these terms shall also be considered the acts and omissions of your parent or legal guardian.
3. Creator approval and verification
UGCSG is a curated marketplace. Creator profiles are reviewed before they are shown to Brands, and we may approve, reject, or later remove any Creator profile at our discretion.
To be approved and paid, Creators may be asked to provide sample videos, a photo, and complete payout set-up with our payment provider, Stripe, which includes Stripe's identity checks. We use the results of those checks to keep the marketplace safe, including to prevent people we have removed from returning under another account.
Creators must only upload samples and deliver work that they created themselves and have the right to use.
4. Using the marketplace
Creators list services (packages) on their profile. Brands order a service by paying for it and attaching a brief. The Creator then accepts or declines within their stated response time. Chat between a Brand and a Creator opens once the Creator accepts an order.
To keep the marketplace reliable, we may limit how many new orders a Creator can receive (for example, a waitlist or a monthly limit) where orders are often missed or declined, and we may pause new orders from a Brand while we review its account.
We may change, suspend or discontinue any part of UGCSG at any time. We will try to give reasonable notice of changes that materially affect open orders.
5. Fees and payments
Brands pay the service price plus a platform fee, and Creators pay a commission on each order. The fees that apply are shown before you pay or accept, and are fixed for that order.
Payments are collected and paid out through Stripe. We collect payments for orders as the Creator's limited payment collection agent, and release or refund them as described in the Order Terms. We are not a bank, escrow agent or trustee.
Creators receive payouts through a Stripe connected account. By setting one up, Creators agree to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal), which includes the Stripe Services Agreement, and authorise us to share their information with Stripe and to instruct Stripe on transfers related to their orders.
Creators are responsible for their own taxes on income they earn through UGCSG. Brands are responsible for any taxes on their use of the content.
6. Content and intellectual property
You keep ownership of the content you upload ("your content"), such as sample videos, briefs and drafts. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, display (including with a UGCSG watermark) and transmit your content as needed to operate, secure and improve UGCSG and to resolve disputes.
Creators allow us to show their sample videos on their UGCSG profile to Brands and visitors, watermarked and not downloadable, for as long as they keep them on their profile.
Rights in delivered videos pass to Brands only as set out in the order they paid for and under the Order Terms.
You confirm that your content does not infringe anyone's rights, is not unlawful, and that you have any permissions needed (for example, from people or brands appearing in it).
The UGCSG name, logo, website and software belong to us or our licensors. You may not copy, scrape or reverse engineer them.
7. Rules of conduct
You must not: take a Brand or Creator you met on UGCSG off the platform to avoid UGCSG's fees, including by exchanging contact details or arranging payment directly; post false, misleading, hateful, sexual, violent or unlawful content; impersonate anyone or misrepresent your identity; upload someone else's work as your own; harass other users; interfere with or attempt to bypass any security or limit on UGCSG; or use UGCSG for any unlawful purpose.
We may review content, briefs, files and messages on UGCSG (including with automated tools) to enforce these rules and keep users safe.
8. Suspension and closure
We may warn you, remove content, pause your profile or new orders, hold payouts while we investigate, or suspend or close your account if we reasonably believe you have broken these terms or the Order Terms, put other users at risk, or acted fraudulently. Where we close an account for a serious breach, we may also prevent the same person or business from opening a new one.
You may close your account at any time by contacting us, once any open orders are completed or resolved.
Sections of these terms that by their nature should continue (including fees owed, content licences needed to resolve disputes, liability and governing law) survive closure.
9. Disclaimers and limit of liability
UGCSG is provided "as is". We do not guarantee the quality of any video, the conduct of any user, or any business result, and we are not a party to the creative work between a Brand and a Creator.
To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or reputation. Our total liability to you for any claim is limited to the fees we actually received from you in the 6 months before the claim arose.
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or any liability that cannot be limited by law.
10. Indemnity
You will compensate us for any claim, loss or cost we suffer because you broke these terms or the law, or because of content you uploaded or used.
11. Changes to these terms
We may update these terms from time to time. We will post the new version on this page with its date, and tell you by email or on UGCSG if a change is significant. If you keep using UGCSG after a change takes effect, you accept the updated terms. Orders already placed stay under the Order Terms signed for them.
12. Governing law
These terms are governed by the laws of Singapore. The courts of Singapore have non-exclusive jurisdiction. Disputes about an order are first handled through the dispute process in the Order Terms.
